The Paralegal will support a team of attorneys and compliance professionals in the North America region of the business while also working directly with internal business partners to assist in all aspects of contract negotiation, corporate transactions, corporate compliance, governance, and litigation support.
Principal Accountabilities:
- Assist lawyers with drafting, review, and management of contracts, amendments to contracts, contract summary and similar documents on a timely basis while assessing risk and providing recommendations to business stakeholders and legal counsel while protecting company’s interests. Make independent decisions on individual contracts regarding approvals and the need for escalation for further review, including escalating discrepancies and other issues to attorneys as needed
- Support lawyers in litigation activities including due diligence, investigations, pleadings, and discovery. Assist in litigation and M&A activity by providing data room, timeline management (tickler systems), and document support
- Assist department in the development, implementation, and training of business on update of standardized forms and processes for both legal and compliance functions; drafting of correspondence
- Assist Secretary and Assistant Secretary of Corporation in management of corporate documents and drafting of resolutions and governance documents under supervision of attorneys. Maintain organizational information on Legal & Compliance department electronic sites, including assuring governance information is current, complete, and assessable for business use
- Assist Compliance Officer in creation and management of documentation related to compliance activities, including, management of sponsorship activities, Physician Sunshine Act reporting, and creation and management of business-related policies and processes
- Assist in oversight of legal and compliance project assignment tool and provide back up to Legal System and Project Coordinator. Assist in management of outside legal counsel engagements
- Contribute, refine, and maintain contract models, policies, and organize, manage, and archive confidential legal and compliance documents. Trusted custodian of confidential information
- Interact with business partners as needed to facilitate transactions, contracts, and other matters, utilizing strong clear oral and written communication skills. Serve as a liaison between Legal & Compliance Department and the business
- Perform other duties as needed and assigned
Your Qualifications
Education:
Bachelor’s Degree preferred
Related Experience:
- Three (3) years experience in corporate paralegal, legal assistant, or law clerk function
- Familiarity with contract and other legal documents
- Experience in large law firm or corporate law department
Special Competencies or Certifications:
- Excellent writing, proofreading, oral communication, and interpersonal skills
- Detail oriented
- Good listening skills and ability to carry over instruction to similar tasks
- Ability to prioritize and work in high pressure environment and meet deadlines
- Self-starter and ability to work both with a team and independently
- Excellent skills in WORD, PowerPoint, Excel, and willingness and ability to learn other software as needed (e.g., NetDocs, SharePoint, Vizio)
- Ability to focus on details, recall/retain information
- Ability to work together with others and in a team atmosphere; while displaying civility, cordiality, friendliness, empathy, etc.
- Ability to comprehend and express oral and written communication at a high level
- Ability to work in a fast-paced environment with varying amounts of individual responsibilities, conflict resolution, redirected priorities, etc.

Draeger has several sites located across North America as well as field-based sales and service positions. Our North America headquarters is located in Telford, PA just north of Philadelphia. We also have US sites in Andover, MA, and Houston, TX. Our Canada site is located in Mississauga, Ontario.
Our US headquarters located north of Philadelphia in Telford, Pennsylvania is our US manufacturing site for our Neonatal product line supplying many global customers as well as production support for Draeger’s Safety products. This location also serves as the key site for essential US functions which includes Medical Sales and Service Management, Medical Marketing, Legal, Compliance, Regulatory, Quality and Finance.
